1. Agreement
These terms apply to your use of faircodetech.com and any pages, forms, downloads or materials we publish on it (the “Site”). They are issued by Faircode Infotech Pvt Ltd (“Faircode”, “we”, “us”).
By browsing the Site or submitting a form you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Site.
A proposal, quote or conversation on this Site is not a contract for services. Design, engineering, ERP, AI, staff augmentation and similar work start only when both sides have signed a statement of work, master services agreement or other written engagement.
2. Who we are

The contracting entity for a given engagement (including any related Faircode company named on a proposal) is confirmed in writing before work begins.
3. Using the Site
You may use the Site for lawful business purposes: learning about our work, downloading materials we offer, and contacting us. You agree not to:
- interfere with the Site, attempt to gain unauthorised access, or overload our systems;
- scrape, harvest or bulk-copy content except as search engines do in the ordinary way;
- submit false, misleading or infringing information, or malware;
- use the Site to send unsolicited commercial messages; or
- misrepresent an affiliation with Faircode.
We may suspend or restrict access if we reasonably believe these terms are being broken, or to protect the Site or other users.
4. Intellectual property
The Site, including copy, layout, photography, case studies, trademarks, logos and code, is owned by Faircode or our licensors. You may view and share links for ordinary business use. You may not copy, modify, republish or commercially exploit Site materials without our written permission, except for brief quotation with attribution.
Client names, marks and project screenshots appear with permission and remain those parties’ property. Faircode product names (including FC Nexus, Shipping Nexus and Climato) are used to describe our own products.
Work we deliver under a signed engagement is owned as that contract says. As a default, custom work product paid for by a client is assigned to that client on payment, excluding our pre-existing tools, libraries and know-how.
5. Enquiries, quotes and downloads
Forms on the Site collect the details needed to reply. Submitting an enquiry does not create an obligation on either side to proceed. Estimates, timelines and budgets discussed before a signed scope are indicative only.
Downloads (guides, company profile, portfolio and similar) are provided for evaluation. They are not professional advice and may be updated without notice. Do not rely on them as a specification or as a substitute for a scoped proposal.
Personal data you send is handled under our Privacy Policy.
6. Confidentiality
We treat project briefs, RFPs and attachments as confidential and use them only to respond to you. We will sign a mutual NDA on request before you share sensitive material. You agree not to disclose any non-public pricing, proposals or process we send you, except to colleagues who need it to evaluate us.
7. Third-party sites and tools
The Site may link to clients, partners, social networks, maps or other third-party services. Those sites have their own terms and privacy practices. We are not responsible for their content or for any transaction you enter with them.
8. Accuracy and availability
We aim to keep the Site accurate and available, but we do not warrant that it is complete, current or uninterrupted. Descriptions of past work, client counts, sectors and results are given in good faith and may be rounded or updated. Outcomes for a new engagement depend on scope, your team and constraints that a contract will define.
The Site is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement in relation to the Site itself.
9. Limitation of liability
To the fullest extent permitted by law, Faircode and its directors, employees and agents are not liable for any indirect, incidental, special, consequential or punitive loss, or for lost profits, data or goodwill, arising from use of the Site or from reliance on Site content.
Our aggregate liability arising from the Site is limited to INR 10,000 (or the equivalent in local currency). Nothing in these terms excludes liability that cannot be excluded under applicable law, including for death or personal injury caused by negligence or for fraud.
Liability for paid services is governed exclusively by the signed engagement, not by this page.
10. Indemnity
You will indemnify Faircode against claims, losses and reasonable costs arising from your misuse of the Site, your breach of these terms, or content you submit (including attachments that infringe another party’s rights).
11. Governing law
These terms are governed by the laws of India. Courts at Kochi, Kerala have exclusive jurisdiction over disputes arising from the Site, without prejudice to any mandatory consumer or public-policy rules that apply in your place of residence.
Engagements with US-based clients may specify Texas or another governing law in the signed contract. That contract controls the services; these website terms still govern use of the Site.
12. Changes
We may revise these terms from time to time. The current version is always at /legal/terms-and-conditions, with the date at the top. Continued use of the Site after a change means you accept the updated terms.
